Important: how disputes are handled

Section 18 explains how disputes are handled. To the extent the law allows, it includes a class action waiver and a jury trial waiver.

You can reject both by email within 30 days; see Section 18.5.

These Terms are a legal agreement between you and GramJee LLC (“we”, “us”) governing your use of the Remember4Me mobile application and related services (together, the “Service”).

You accept these Terms when you tap “Sign in with Apple” or “Sign in with Google” in the app, where the app tells you that doing so means you agree. Using the Service also means you accept them. If you do not agree, do not sign in or use the Service.

1. Who we are

GramJee LLC
701 South St., STE 100
Mountain Home, AR 72653
United States

Phone: 4173523170
Contact: support@gramjee.com

2. Eligibility

The Service is offered only to people in the United States. It is not intended for use in any other country.

You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service. The Service is not intended for anyone under 18, and we do not knowingly allow anyone under 18 to create an account. If we learn that someone under 18 is using the Service, we may suspend their access and delete their account, including any backup stored on our servers.

You may store information about your children or other family members in the Service, as long as you have the right to do so.

By using the Service you confirm you can form a binding contract with us and are not barred from doing so under applicable law.

3. Your license to use the app

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the app on devices you own or control, for your own personal or internal business use, in accordance with these Terms and the applicable app-store rules.

You may not:

  • copy, modify, or create derivative works of the app;
  • reverse engineer, decompile, or disassemble it, except to the extent that restriction is prohibited by applicable law;
  • rent, lease, lend, sell, sublicense, or distribute it;
  • remove or obscure any proprietary notices;
  • use it to break the law or infringe anyone’s rights;
  • attempt to defeat rate limits, authentication, or other technical protections.

We retain all rights we do not expressly grant you. The app, its design, and its content are protected by copyright and other laws.

4. Your account

You sign in with Apple or Google. You are responsible for keeping access to that sign-in account secure. We identify you by an account identifier derived from your sign-in provider; see the Privacy Policy.

You are responsible for activity that occurs under your account.

5. YOUR DATA, ENCRYPTION, AND THE DATA-LOSS TRADE-OFF

Please read this section carefully. It describes the most important limitation of the Service.

Remember4Me encrypts your content on your device. We do not have the key that decrypts your content, and we never receive the passphrase or security-question answers that protect it. If you set up recovery, we store only a second encrypted copy of your key and a list of which questions you chose, never your answers.

There are three things this encryption does not cover:

  • Files you choose to keep readable in Google Drive. These sit in your own Drive as normal files. Google, and anyone with access to your Drive, can open them.
  • Tag names. These are sent to our servers so the app can suggest popular tags. Don’t put personal details in tags.
  • Messages you send us, such as feedback or support emails. We can read those.

Everywhere these Terms say we can’t read or don’t have access to your content, these three exceptions apply.

Because of this design:

  • Your protection is only as strong as your passphrase and answers. Anyone who obtained your encrypted backup, for example in a breach of our systems, could try to guess them. Use a long, unique passphrase, and choose answers other people couldn’t find out or guess.
  • We cannot recover your data. There is no password reset, no recovery link, and no support override. The optional security-question recovery works only if you set it up in advance, and only with both your sign-in account and your correct answers.
  • If you lose access to your device AND lose your passphrase, and you cannot complete security-question recovery (because you did not set it up, lost access to your sign-in account, or forgot your answers), your data is permanently unrecoverable by you, by us, or by anyone.
  • We don’t have access to your content, so we cannot restore, repair, inspect, or produce it, including in response to a support request.
  • Plan ahead for the people you care about. If something happens to you, your family may want your memories and documents. Because only you hold the key, we are not able to unlock your data for anyone else, including family members, heirs, or someone acting for you. A little planning now makes sure they are not locked out:
    • Share what matters now. Use Send a copy to give a memory to a family member or friend who also uses Remember4Me.
    • Keep a readable copy. From time to time, use: Settings → Download my data Store the archive where someone you trust can find it.
    • Leave instructions. If you want someone to be able to open your account, keep your passphrase with your important papers, where a person you trust can find it. They would also need access to your Apple or Google sign-in.

You are solely responsible for safeguarding your passphrase, your security-question answers, and for keeping your own backups. We strongly recommend storing your passphrase in a password manager or another safe place.

This is a deliberate trade-off in favor of your privacy. If you are not comfortable with it, do not use the Service.

6. Backups and third-party storage

Cloud backup is optional and under your control.

  • If you enable it, an encrypted copy of your database is stored on infrastructure we operate. We don’t have the key to decrypt it.
  • If you connect Google Drive, document files are stored in your own Google Drive account, governed by your agreement with Google. You may choose, per document, whether a file is stored encrypted or readable. Choosing readable means the file is stored in a form Google and anyone with access to your Drive can open.
  • Your use of Apple, Google, and Google Drive is governed by their terms, not ours. We are not responsible for those services.

Backup is a convenience, not a guarantee. We do not promise that a backup will exist, be complete, or be restorable.

7. Sharing a memory (“Send a copy”)

The Service lets you send an encrypted copy of a memory, including its documents, notes, and reminders, to someone else.

  • You decide what to share and with whom. Once you give someone the share code or QR code, they can decrypt and keep that copy. You cannot un-send it.
  • Shared bundles are automatically deleted from our relay after 14 days.
  • You are responsible for what you share, including for having the right to share it and for complying with the law when the content concerns other people.

8. Subscriptions, billing, and trials

Remember4Me is a subscription service. A free trial may be offered through the App Store or Google Play. An active subscription is required to add to or change your library; see If your subscription ends below for exactly what keeps working without one.

  • Prices, billing periods, and any free-trial terms are shown in the app and on the store listing at the time of purchase.
  • Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Apple requires you to cancel at least 24 hours before the period ends.
  • Payment is charged to your Apple or Google account, and renewals are charged to that account.
  • You manage and cancel your subscription in your Apple or Google account settings, not through us. The app provides a link to that screen.
  • Deleting the app or your account does not cancel your subscription. You will keep being charged until you cancel in your Apple or Google account settings. Cancel there first.
  • When you cancel, renewal stops, but you keep full access until the end of the period you have already paid for. After that, If your subscription ends below applies.
  • Free trials convert automatically. If you start a free trial, your paid subscription begins automatically when the trial ends, and you will be charged the price shown when you started, unless you cancel before the trial ends (on Apple, at least 24 hours before). The trial length and price are shown before you start. Any unused part of a trial ends if you buy a subscription during it.
  • Refunds follow the store’s policy. On Apple, request a refund from Apple; we cannot issue refunds for App Store purchases. On Google Play, request a refund from Google Play first. If Google directs you to us, email support@gramjee.com and we will review your request under Google Play’s policy.
  • We may change prices. Price changes apply from your next billing period, and the stores will notify you and seek consent where required.

If your subscription ends

You keep access to everything you have already saved. Your data is never deleted because a subscription ended.

After a 14-day grace period, your library becomes read-only.

You can still

  • open, read, and search everything you have saved;
  • export a full copy of your data from within the app;
  • delete individual items, or delete your account entirely;
  • receive reminders you had already scheduled.

An active subscription is required to

  • add new memories or documents;
  • edit or change what you have saved;
  • accept a memory shared with you by someone else;
  • back up to the cloud.

Resubscribing restores full access immediately; nothing is lost in the meantime.

Opening your files outside the app Document files stored in your own Google Drive are encrypted by default. An encrypted file can be opened only inside Remember4Me, even though it sits in your Drive. There are two ways to get a copy you can open elsewhere:

  • Export from the app. This creates a readable copy of your data, and works even after your subscription ends: Settings → Download my data
  • Keep a file readable in Google Drive. While your subscription is active, you can switch a document from encrypted to readable. It is then stored in your Drive as a normal file that you can open from Google Drive.

A readable file is not protected by our encryption. Google, and anyone who has access to your Drive, can open it. If you share a file or folder from your Google Drive with other people, you do that through Google, not through us. Who you share with is your choice and your responsibility, and Google’s terms and privacy policy apply to those files.

Nothing here limits consumer rights that the law does not allow you to give up.

9. Acceptable use

You agree not to use the Service to:

  • store or share content that is illegal, or that infringes someone’s rights;
  • harass, threaten, or violate the privacy of others;
  • distribute malware or attempt to compromise the Service or its users;
  • probe, scan, overload, or circumvent our rate limits or security controls;
  • use automated means to access the Service other than as we permit;
  • misuse the feedback or sharing features to send unlawful or abusive content.

We don’t have access to your encrypted content, so we do not monitor it. That does not make prohibited use acceptable, and we may act on reports we receive.

10. Your content

You keep all rights to your content. We claim no ownership of it.

You grant us only the limited, technical permission needed to operate the Service at your direction (for example, to store an encrypted backup you asked us to store, or to relay an encrypted bundle you asked us to send). This permission ends when you delete the content or your account.

You are responsible for your content and for having the right to store and share it.

Feedback If you send us feedback or suggestions, you allow us to use them to improve the Service, without restriction or payment to you. This does not give us any rights to the content you store in the app.

11. Availability and changes

We aim to keep the Service running, but we provide it as is and do not guarantee uninterrupted or error-free operation.

We may modify, suspend, or discontinue features at any time. If we discontinue the Service materially, we will make reasonable efforts to give you notice so you can export your data using the app’s export feature.

Pre-release versions If you use a test or pre-release version (for example, through TestFlight or a Google Play testing track), it may contain bugs, may be changed or withdrawn at any time, and data you store in it may not carry over to the released version. You may need to add it again. Please don’t rely on a pre-release version as the only copy of anything important.

12. Termination

You may stop using the Service at any time, delete your account in the app, and uninstall it.

We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use creates risk or legal exposure for us or others. Where reasonable, we will give notice first.

If we end your access because you broke these Terms, you are not entitled to a refund for any unused part of your subscription, except where the law or the store’s policy requires one.

On termination, your license ends. Sections that by their nature should survive, including Sections 5, 10, 13, 14, 15, 16, 17, 18, and 20, survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting Section 5, we do not warrant that the Service will be uninterrupted, secure, or error-free, that any backup will be available or restorable, or that lost data can be recovered.

Reminders are a convenience, not a guarantee. Reminders are delivered by your phone’s operating system and may arrive late or not at all, for example if notifications are turned off, the app is uninstalled or moved to a new device, the device is off, its date, time, or time zone changes, or the operating system delays or drops the notification. Do not rely on the Service as your only way of tracking deadlines that matter, such as renewals, payments, legal or medical dates, or warranty periods. To the extent permitted by law, we are not responsible for any loss caused by a reminder that does not arrive or arrives late.

Keep your originals. The Service stores copies to help you organize and find your information. It is not an official record, and a copy stored in the app may not be accepted in place of an original document. Keep original documents wherever you are required to, or where you may need them.

Not professional advice, and not for emergencies. The Service is a tool for organizing your own information. It does not give legal, medical, financial, or tax advice, and nothing in it should be relied on as such. Do not rely on the Service in an emergency.

Sensitive-information flags are suggestions. The app automatically flags some content that looks like personal information. It can miss sensitive information or flag content that isn’t sensitive. You decide what to mark as sensitive and what to share, and you remain responsible for protecting it.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or unrecoverable data, even if we were advised such damages were possible.
  • Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $30.

These limits apply even if a limited remedy fails of its essential purpose, and they reflect a reasonable allocation of risk that is part of the basis of our agreement, including the encryption design described in Section 5.

Some jurisdictions do not allow these limits, so they may not fully apply to you, and your statutory consumer rights are not affected.

15. Indemnity

You agree to defend, indemnify, and hold harmless GramJee LLC from claims, damages, and reasonable costs (including legal fees) arising from your misuse of the Service, your content, or your breach of these Terms, except to the extent the claim arises from our own wrongdoing. This does not apply where prohibited by law.

16. Export and legal compliance

The app contains encryption technology that is subject to US export controls. You may not use or export the Service in violation of applicable export laws. You represent that you are not located in, and are not a national or resident of, a country subject to a comprehensive embargo, and that you are not on a prohibited-party list.

17. Apple-specific terms

These apply if you obtained the app from the Apple App Store. If they conflict with the rest of these Terms, they take priority for Apple users.

  • Agreement. These Terms are between you and us only, not with Apple. We, not Apple, are solely responsible for the app and its content.
  • Scope of license. Your license under Section 3 lets you use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may also be used by other accounts associated with you through Family Sharing or volume purchasing.
  • Maintenance and support. We are solely responsible for providing any maintenance and support for the app, as described in these Terms or as required by law. Apple has no obligation to provide maintenance or support.
  • Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our responsibility, subject to Sections 13 and 14.
  • Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including: (i) product-liability claims; (ii) claims that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.
  • Intellectual property. If a third party claims that the app or your possession and use of it infringes that party’s intellectual-property rights, we, not Apple, are solely responsible for investigating, defending, settling, and discharging that claim.
  • Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a US Government embargo or that has been designated by the US Government as a “terrorist supporting” country, and (ii) you are not listed on any US Government list of prohibited or restricted parties.
  • Third-party terms. You must comply with any applicable third-party terms when using the app (for example, your mobile carrier’s data-service agreement).
  • Contact. Questions, complaints, or claims about the app should be sent to us using the contact details in Section 21, not to Apple.
  • Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.

18. Disputes and governing law

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. TO THE EXTENT APPLICABLE LAW ALLOWS, YOU AGREE TO BRING CLAIMS ONLY ON YOUR OWN BEHALF (NOT IN A CLASS ACTION) AND TO HAVE A JUDGE, NOT A JURY, DECIDE THEM. YOU CAN REJECT THESE TWO WAIVERS BY EMAILING US WITHIN 30 DAYS; SEE SECTION 18.5.

18.1 Try to resolve it with us first

To the extent permitted by applicable law, before either of us files a lawsuit, we will both try to resolve the dispute informally for 60 days.

  • How you notify us. Email legal@gramjee.com with the subject line “Notice of Dispute”. Include your full name, an email address where we can reply, your Remember4Me Account ID (if you can’t find it, say so), what went wrong, and what you would like us to do. This email is your Notice of Dispute.
  • How we notify you. We will email the address you last used to write to us. If we have no email address for you, we will show the notice in the app.
  • When the 60 days start. The 60 days begin on the day the Notice of Dispute is received: for your notice, the day your email reaches legal@gramjee.com; for ours, the day we send the email or first show the notice in the app. We will confirm by email that we received your notice.
  • After 60 days, if the dispute isn’t resolved, either of us may go to court. Legal time limits for bringing the claim are paused during the 60 days.
  • Urgent cases. This section does not stop either of us from going to small claims court, or from asking a court for urgent relief to prevent immediate harm.

18.2 Governing law

These Terms are governed by the laws of the State of Arkansas, United States, without regard to its conflict-of-law rules.

18.3 Where disputes are heard

Any lawsuit about these Terms or the Service must be brought in the state or federal courts located in or serving Benton County, Arkansas, and you and we agree to the jurisdiction of those courts. Either of us may instead use a small claims court where you live, if the claim qualifies.

18.4 Class action waiver and jury trial waiver

  • No class actions. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND GRAMJEE MAY EACH BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. A court may not combine more than one person’s claims without the written agreement of both you and GramJee, and may grant relief only to the individual bringing the claim, and only as far as needed to resolve that individual’s claim.
  • No jury. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND GRAMJEE EACH GIVE UP THE RIGHT TO A JURY TRIAL. A judge will decide the case.

If a court decides that either waiver can’t be enforced for a particular claim, that waiver doesn’t apply to that claim only. It still applies to every other claim.

18.5 How to reject the waivers (30-day opt-out)

You can reject Section 18.4 (both the class action waiver and the jury trial waiver) by following these steps:

  • Send an email to legal@gramjee.com with the subject line “Opt out”.
  • Deadline: within 30 days after the day you first accepted these Terms (normally, the day you first signed in). Your opt-out counts if your email is sent within that time, even if our reply comes later.
  • Include: your full name, an email address where we can reply, your sign-in method (Apple or Google), your Remember4Me Account ID (if you can’t find it, say so), and the sentence “I reject Section 18.4.”
  • Confirmation: we will reply by email to confirm. If you don’t hear from us within 20 days, please email again.
  • One person per email. You must send your own opt-out. An email sent on behalf of more than one person is not valid.

Opting out rejects only Section 18.4. Every other part of these Terms, including the rest of this Section 18, still applies to you.

18.6 Time limit for claims

To the extent permitted by applicable law, any claim about these Terms or the Service must be started (by sending a Notice of Dispute under Section 18.1) within one year after the claim arises. If applicable law sets a longer minimum period that cannot be shortened by agreement, that longer period applies instead.

18.7 Who this section protects

This section also applies to claims against GramJee LLC’s members, managers, officers, employees, and contractors that relate to these Terms or the Service.

18.8 Rights the law protects

Nothing in these Terms limits any right you have that cannot legally be waived or limited by contract, including rights under the consumer protection laws of the state where you live.

18.9 If part of this section can’t be enforced

If a court decides that any part of this section can’t be enforced, the rest of it still applies.

18.10 Survival

This section continues to apply after your account or these Terms end.

19. Changes to these Terms

We may update these Terms. When we make a change that matters, we will update the dates above, and the app will show you the updated Terms and ask you to agree before you continue. The updated Terms apply to you once you tap to agree.

If you do not agree, you can still download a copy of your data and delete your account from that screen, or sign out. Remember to cancel any subscription in your Apple or Google account settings.

Electronic notices You agree that we may give you notices electronically, and that these satisfy any legal requirement that notices be in writing. We give notices in the app or by posting them at remember4me.gramjee.com. We don’t store your email address on our servers, so we don’t send general notices by email. We will email you only if you have written to us first (for example, a support request, feedback where you chose to include your email, or a dispute notice under Section 18.1), and only at the address you used.

20. Entire agreement; miscellaneous

These Terms are the entire agreement between you and us about the Service. Our Privacy Policy explains how we handle information. It is provided for your information and is not part of this contract.

If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.

Events outside our control We are not responsible for any delay or failure caused by events we cannot reasonably control. Examples are natural disasters, power or internet outages, outages at Apple, Google, or our hosting providers, cyberattacks, war, and government action.
